1. Who we sell to

RAU Studio ("RAU", "we", "us") supplies wholesale goods to approved trade customers only. Access to this store, its pricing and its catalogue is restricted to stockists we have approved. Accounts are opened at our discretion and we may require an ABN or equivalent business registration, and evidence of a genuine retail or commercial business.

Applying for an account does not create a supply agreement. An account is open only once we confirm it in writing.

2. Your account

You are responsible for keeping your account details accurate and your login secure, and for all orders placed through your account. Tell us promptly if you believe your account has been used without your authority.

We may suspend or close an account that is inactive, that has been used to buy for purposes other than resale, or where these terms have been breached.

3. Ordering and minimum quantities

Every design is sold in packs of 6. Order quantities for each design must be a multiple of 6 (6, 12, 18, and so on). You may combine as many different designs as you like in one order — the pack rule applies per design, not per order.

The minimum order is one pack of 6. There is no minimum order value.

An order placed through the store is an offer to buy. A contract is formed when we accept the order, which we do by dispatching the goods or by confirming acceptance in writing. We may decline or adjust an order where stock is unavailable, where the pack rule is not met, or where a pricing or description error is evident.

4. Prices, GST and payment

Prices are shown in Australian dollars and include GST. The wholesale price is $3.50 per pair, so a pack of 6 is $21.00.

Payment is due in full at checkout. We do not offer credit accounts or invoice terms. Your order is processed once payment clears.

We may change prices at any time. A change does not affect an order we have already accepted.

5. Delivery, title and risk

Delivery is covered by our Shipping Policy, which forms part of these terms.

Risk in the goods passes to you on delivery. Title passes to you when we have received payment in full for that order.

6. Faults, shortages and returns

Check your delivery on arrival. Report shortages, incorrect items or transit damage within 7 days of delivery, with photographs where relevant, to info@rausocks.com.

Nothing in these terms limits your rights under the Australian Consumer Law. Our goods come with guarantees that cannot be excluded under the ACL. Where goods are faulty, we will replace, repair or refund in line with those rights.

Wholesale orders are not returnable for change of mind.

7. Resale

You may resell our products through the channels you told us about when your account was opened. Tell us before you begin selling them through a marketplace or a channel you did not disclose.

You set your own retail prices. We may publish a recommended retail price, but it is a recommendation only and you are free to sell at the price you choose.

8. Brand and images

We grant you a non-exclusive, revocable licence to use our product images, product names and brand assets for the purpose of marketing and reselling the goods you have bought from us. You must not alter our logo, imply a partnership beyond stockist status, or register our marks or domains. The licence ends when your account closes.

9. Liability

To the extent permitted by law, and other than liability that cannot be excluded under the ACL, our liability in connection with the goods is limited to replacing the goods or refunding the price paid for them. We are not liable for loss of profit or other indirect loss.

10. General

We may update these terms. The version published when you place an order is the version that applies to that order.

These terms are governed by the laws of New South Wales, Australia, and the parties submit to the courts of that jurisdiction.
